Director Induction Course

Format

Our OMC voluntary director induction training courses are designed for all newly elected and re-elected directors. These courses will provide participants with an overview of the role of a company director, the obligations which attach to such role and key knowledge and information necessary to perform the role. Our induction courses include focused training on governance and management issues, legislative and regulatory matters and ethics and dispute resolution.

Course overview

The indicative course content includes:

  • Principles of good governance for Owners’ Management Companies. Structure of the owners’ management company board, role of company secretary, role of property management agent, effective governance practices and corporate control.
  • Directors obligations. Full review of the obligations of an OMC director including the statutory and common law duties arising and the powers available to directors under the company’s constitution.
  • Service charges. The proper administration and recovery of service charges fees, addressing the types of service charges, how same are set, how to collect same and mechanisms for recovery. A review of the statutory framework for collection both under the Multi-unit Development Act, 2011, and separately under the Companies Act, 2014.
  • The management of common areas. Addressing the liability for common areas and the obligation on developers to transfer the areas into the owners’ management company and tackling legacy construction defects in common areas.
  • The governance of the Annual General Meeting (AGM). Statutory rights to vote, use of proxy vote, how to set and amend house rules. Review the practice and procedure of company meetings.
  • The Multi-Unit Development Act, 2011. A detailed review of the primary legislation for owners’ management company, the benefits and drawbacks of same and the statutory dispute resolution procedure set out therein.

All owners’ management company officers together with all serving OMC directors both recently elected and re-elected and all persons seeking to step into the role of voluntary director.

Key learning outcomes

  • On completion of the course participants will be better placed to address and tackle the key challenges facing owners’ management companies in Ireland;
  • Participants will have an understanding the role of the owners’ management company director and the legal obligations arising for such director;
  • Participants will be exposed to the correct procedure for calling and chairing an AGM and will understand the voting rights arising under the Multiunit Development Act, 2011;
  • Participants will be exposed to the liabilities arising from common areas and will understand the importance of ownership and control of such areas;
  • Participants will have an understanding of the principles of good company governance and be in a position to act as better stewards for their owners’ management company.
